Our operational engagements across both enterprise technology provisions and heavy civic architectural constructions are strictly regulated by the transparent parameters outlined below.
There will only be two rounds of revision and anything outside scope will be quoted separately for.
Client must provide content, logins, brand assets, approvals within 5 business days. Delays on any of these will be charged at an additional cost.
50% deposit to start, 50% on launch for projects.
Retainers are paid upfront and any late payments will be charged at 5% per month and work will be stopped until full payment is received.
Deposit non-refundable on web development once design/dev starts.
If cancelled mid-project, client pays for work completed and handover fees.
30 days written notice required for cancellations.
No refunds on current month.
No results-based refunds are permitted.
Client owns the ad account and pays platforms directly. Ying Yang will not be liable for any refund.
Code design becomes client property only after final payment. Until then, Ying Yang retains IP.
Web dev: 60 day bug fix warranty for code errors only. Does not cover new features, 3rd party plugin breaks or hosting issues.
No guaranteed ROI. Results depend on market, budget and Client assets.
If Ying Yang does not host, Client is fully responsible for downtime/server issues.
Either party can terminate with 30 days written notice for retainers.
For any breach, both parties will have 14 days to remedy.
All outstanding payments are due and payable immediately.
SA law prevails in the protection of data.
Client is totally responsible if Ying Yang does not host the domain.
This agreement and any dispute or claim arising out of or in connection with it shall be governed and construed in accordance with the laws of the Republic of South Africa. The parties irrevocably submit to the exclusive jurisdiction of the courts of South Africa.
Work is done as per signed Quotation, BOQ, Drawings and specifications.
Anything outside this will be done via a Variation Order which will be quoted for separately.
Deposit of 30% to secure start date and order of materials.
30% payable on 50% of project completed.
30% payable on completion.
10% payable after handover and 30 days for defects completion which will be the retention amount.
Late payments will be charged a 5% interest rate.
Work stops after 7 days if payments are not received.
Client cancels before work starts then deposit kept. This covers admin, design, quotes and site setup.
Client cancels during build, pays for all work completed plus materials delivered and demobilization.
Ying Yang cancels only for non-payment, unsafe site or any breach by client.
14 days written notice will be issued by YING YANG to client.
Force Majeure excludes liability for load shedding, strikes, material shortage.
Late approvals, changes and no site access will be billed as per normal.
Variations must be written and signed. No verbal instructions will be taken.
12 months from date of practical completion. Covers only defects due to poor workmanship only.
Excludes normal wear, structural movement, misuse, third party work and "acts of God".
Client provides water, electricity, security and ablutions.
Ying Yang carries contractors all risk and public liability.
Client is responsible for insurance on existing structure.
